This document lays out the terms and conditions that apply to the access and the use of www.paisabazaar.com ("Platform"), Mobile Application ("App"), including any sub-domain owned, developed and managed by Paisabazaar Marketing and Consulting Private Limited. App and Platform shall together hereinafter be referred as "Platform". This document/agreement is an electronic legal contract between you and Paisabazaar in terms of the Information Technology Act, 2000 and is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, that provide for the due diligence to be exercised for the access or usage of this Platform.

These Terms of Service contain important information regarding the Services that Paisabazaar will provide to you and you shall read them carefully before accepting them. By registering for these Services (as defined below) offered by Paisabazaar Marketing and Consulting Private Limited ("Paisabazaar/we/us") and by accepting electronically (for example, clicking "Submit" or "I Agree"), as well as by using the Platform for the "Services", you agree that you have read and understood these Terms of Service and have agreed to be bound by these Terms of Service / Agreement and all applicable laws and regulations.

If you do not agree to these Terms of Service then you must not proceed to use the Services provided on the Platform.

As may be applicable to you, "Services" shall mean the mutual fund distribution and execution services in regular plans of mutual funds, provided by Paisabazaar in its capacity as a mutual fund distributor registered with the Association of Mutual Funds in India ("AMFI") under ARN- 336712. These Services are distribution and execution services only and do not constitute investment advice under the SEBI (Investment Advisers) Regulations, 2013. They are distinct from, and are not to be combined with, any investment advisory services that Paisabazaar may offer separately in its capacity as a SEBI-registered Investment Adviser, which are governed by a separate agreement.

You and Paisabazaar are hereinafter collectively called the "Parties" and individually a "Party".

I. Declaration by the Client / you:

1. You are above 18 years of age. Where you are acting as a Guardian for a minor, you have the necessary authority to transact on behalf of the minor.
2. In accordance with applicable laws, you hereby appoint Paisabazaar, entirely at your own risk, as your mutual fund distributor to provide the distribution and execution Services in accordance with the terms and conditions of these Terms of Service.
3. You have read and agree to abide by the Privacy Policy and Terms of Use of the Platform, and agree to any changes to them that may be made from time to time.
4. You are desirous of obtaining the Services from Paisabazaar. You agree and confirm that by using the Platform you are competent and conscious to enter into this Agreement and are fully able and conscious to make your own investment decisions, and that all investment-related transactions on our Platform are made at your sole discretion.
5. You have neither received nor been induced by any rebate or gifts, directly or indirectly, in making the transactions or availing any Services through the Platform, and any Services availed or carried out by you on the Platform are at your sole discretion.
6. You declare that the amount invested by you through our Platform is from legitimate sources only and is not designed for the purpose of any contravention or evasion of any Act, Rules, Regulations, Notifications or Directions issued by any statutory, regulatory or government authority from time to time.
7. You have read, understood and agree to the terms applicable to the Services that you have selected with us under Section II and Section III below.

II. Declaration by Paisabazaar as a Mutual Fund Distributor:

Paisabazaar hereby declares and discloses that, in connection with the distribution Services:

• Paisabazaar is a mutual fund distributor registered with AMFI (ARN-336712) and is empanelled with the respective asset management companies ("AMCs") / mutual funds whose schemes are made available on the Platform. Paisabazaar and its personnel abide by the AMFI / SEBI Code of Conduct for mutual fund intermediaries.
• Paisabazaar acts solely as a distributor of mutual fund products and does not act as your investment adviser under this Agreement. Paisabazaar does not provide investment advice, and any information, comparison or assistance provided is incidental to the distribution of mutual fund products and does not constitute "investment advice" under the SEBI (Investment Advisers) Regulations, 2013.
• Paisabazaar receives commission (including trail commission) from the AMCs / mutual funds in respect of investments made by you in regular plans, in accordance with SEBI / AMFI norms. Paisabazaar does not charge you any advisory fee for the distribution Services. Details of commission are disclosed in the manner prescribed by SEBI / AMFI and are available to you on request.
• The schemes made available through the distribution Services are regular plans, which carry a higher total expense ratio than the corresponding direct plans on account of distribution commission. Direct plans of the same schemes are available to you without a distributor at a lower expense ratio, and you may invest in direct plans on your own without using these Services.
• Paisabazaar also holds a registration as an Investment Adviser with the Securities and Exchange Board of India ("SEBI"). Paisabazaar maintains an arm's-length separation between its mutual fund distribution business and its Investment Adviser business, and the same client (and their immediate family) shall not be serviced by Paisabazaar both as a distribution client and as an advisory client. By accepting these Terms of Service, you are being on-boarded as a distribution client and not as an advisory client.
• Paisabazaar shall not, in the course of providing the distribution Services, hold out any product implying assured returns, minimum returns, target returns or any nomenclature that gives the impression that an investment is risk-free, is not susceptible to market risks, or can generate returns with any level of assurance.

III. Description and Scope of Distribution Services

You agree and understand that you have applied for Paisabazaar's mutual fund distribution and execution Services in regular plans after understanding the nature and scope of these Services, and you further agree and confirm that:

1. The Platform enables you to voluntarily select and compare schemes / regular plans of mutual funds and AMCs with whom Paisabazaar has entered into separate distribution arrangements, and to deal in the units of such schemes that are existing / launched / offered from time to time. Paisabazaar shall carry out the execution / implementation of your investment transactions in regular plans as per your instruction on a non-discretionary, execution-only basis, and all investment decisions shall be made at your sole discretion.
2. You agree to execute all documents that may be needed from time to time and to send the necessary transaction details to the mutual funds / AMCs / their Registrar & Transfer Agents (RTAs). All authorised and complete transactions will be processed at the applicable Net Asset Value ("NAV") as defined in the Scheme Information Document of the respective schemes, subject to receipt of funds and acceptance of your transaction by the mutual funds / RTAs.
3. Your registration is subject to satisfactory completion of the registration form and submission of all mandatory KYC documents, including a valid Permanent Account Number ("PAN"), and subsequent KYC Registration Agency ("KRA") validation, including your KYC records being "validated" by the KRA in accordance with applicable SEBI KYC (Registration Agency) norms. You shall also be Foreign Account Tax Compliance Act (FATCA) compliant for availing the Services.
4. The Services can be activated for KRA-validated investors only. Upon registration, you agree to comply with KYC, KRA, the Prevention of Money Laundering Act, 2002, SEBI Act 1992, the Foreign Exchange Management Act, Reserve Bank of India (RBI) guidelines and all applicable laws and regulations, to the extent applicable.
5. You agree and allow us to submit your information along with all KYC documents (name, PAN, address and signature) / investor-related documents to the respective mutual funds, AMCs and / or their RTAs for validation and to comply with regulatory requirements notified from time to time. You agree that the signature available in the KRA records / systems would be used for signature verification, and where such signature is not available or legible, the AMC may carry out further checks or reject the transaction. You shall not provide any power of attorney for availing the Services.
6. The Services can be operated using your user ID and password. You shall be solely responsible for the protection and confidentiality of your user ID and password at all times, and any disclosure to any third person shall be entirely at your risk.
7. Each transaction routed through Paisabazaar will carry Paisabazaar's ARN and, where applicable, the Employee Unique Identification Number (EUIN) of the relevant person. Where you transact on an execution-only basis without any interaction with, or advice from, any person, you may opt accordingly and the EUIN may be left blank, in which case the prescribed execution-only declaration shall apply.
8. Your instructions for transacting in regular plans will be forwarded to the AMC / RTA, including through Paisabazaar's platform partner(s) (such as NSE NMF II and / or BSE StAR MF), in electronic feed-file format, and the AMC / RTA will process the transaction on the basis of such feed file. You consent to the transmission of your personal data by electronic means from the Platform to such third parties in connection with your transaction, subject to and in accordance with the Digital Personal Data Protection Act, 2023 and the rules thereunder.
9. You agree that the data and information provided by you may be shared by Paisabazaar with AMCs, RTAs, KRAs, CERSAI, NSE, BSE, other statutory bodies and our authorised agents, representatives, affiliates and group companies for facilitating transaction processing, servicing, statement generation and compliance with legal or regulatory requirements. We shall use your data in accordance with our Privacy Policy and the Digital Personal Data Protection Act, 2023.
10. You understand and agree that, under these distribution Services, Paisabazaar does not assess your risk profile or the suitability of any scheme for you, and does not provide investment advice. All investment decisions are made by you at your sole discretion. If you wish to receive investment advice or a suitability assessment, that is a separate investment advisory (RIA) service which you have not opted for under this Agreement.
11. All investment decisions are made by you at your sole discretion, and you are free to choose / invest in any scheme of mutual funds you want, irrespective of any information displayed on the Platform.
12. The Platform may display content such as mutual fund data, external ratings, research and other externally sourced data, and may provide calculators and illustrative projections for convenience only. Such content and tools are for illustrative purposes, are not investment advice or a recommendation, and Paisabazaar is not responsible for the accuracy of externally sourced data. Any returns displayed do not offer any guarantee of future performance.
13. You understand that mere display of mutual fund information on the Platform does not amount to investment advice. Paisabazaar has not undertaken any taxation analysis relating to the suitability of any scheme for you. You are advised to seek appropriate professional advice, including tax advice, before dealing with any realized or unrealized gain / loss.
14. Paisabazaar / its authorised representatives / service providers do not take responsibility for any delay in acceptance / execution, or non-execution / rejection, of a transaction order by the AMC. Once the AMC provides the reason for rejection, you will be informed accordingly.
15. You agree not to hold Paisabazaar / its authorised representatives liable for any loss arising from an incorrect NAV applied on units allotted to you by the AMC / mutual fund. As with any investment in securities, the NAV of units can go up or down depending on the factors and forces affecting capital markets.
16. For NACH / ECS / Direct Debit purchases, transaction instructions will be sent to the AMC upon successful confirmation of money transfer to the AMC's account, which may result in a time lag between the date of debit to your bank and the date Paisabazaar submits your request to the AMC. You agree to maintain a clear balance in your bank account and to check your daily fund-transfer limits before placing a purchase / SIP request.
17. You authorize Paisabazaar to receive your investment details and reverse feed files from the AMCs & RTAs, and you consent to the sharing of transaction data feed / portfolio holdings / NAV in respect of your investments in regular plans tagged with Paisabazaar's ARN. You understand there may be a time lag before transactions are updated in the records of Paisabazaar / its service providers.
18. You agree that in the case of joint accounts, mutual fund folios maintained by the AMCs will be held in "any or survivor" mode.
19. The investment amount / payment for transactions undertaken through the Platform will be facilitated by Paisabazaar's platform partner(s) (such as NSE / BSE) or through a payment gateway, and Paisabazaar / its service providers shall not be liable for any failure in the link or for any fraud (at the payment-gateway and / or bank end) at the time of making payment. You shall inform Paisabazaar immediately if your bank account is debited by an unauthorized transaction and corresponding units have not been allotted.
20. Applicable exit load / any other charge levied by the mutual funds will be chargeable in accordance with the Scheme Information Document (SID) / Key Information Memorandum (KIM) and addendums issued from time to time (collectively, "scheme related documents"). You shall read all scheme related documents before investing.
21. You acknowledge and consent that Paisabazaar is remunerated by way of commission (including trail commission) paid by the AMCs / mutual funds in respect of your investments in regular plans, and that no separate advisory fee is charged to you for the distribution Services. The commission forms part of the scheme's expense ratio and is disclosed in the manner prescribed by SEBI / AMFI.
22. Access to the Services may be suspended / cancelled / terminated, in whole or in part, with prior notice, if you do not comply with these Terms of Service. In the event of termination of Paisabazaar's empanelment / arrangement with a mutual fund / AMC, you would not be able to execute transactions in that mutual fund through the Platform; in such cases Paisabazaar will make available your details to the mutual fund / AMC to enable you to deal directly with them. Either Party may also terminate these Terms of Service by giving 30 (thirty) days' prior written notice.
23. All purchase transactions made on the Platform shall be allotted a folio number, and you will be able to access the transaction account statement in electronic format. You will receive Account Statements directly from the AMCs / RTAs.
24. Nomination shall be made / opted out of in accordance with the nomination framework prescribed by SEBI / AMCs from time to time. Where you do not wish to nominate, you shall record your non-intention to nominate by way of the prescribed opt-out declaration, failing which the application may be rejected at the discretion of the AMC. On the death of a unitholder, units are transmitted to the nominee or legal heirs in accordance with the standardized procedures of the respective AMC.
25. You agree and understand that there is no guarantee of any returns on investments made in mutual fund scheme(s). Past performance of a mutual fund / scheme does not indicate future performance and may not provide a basis of comparison with other investments.
26. Your investment amount is subject to stamp duty charges as notified by the authorities from time to time.
27. You agree that, in addition to these Terms of Service, you shall also be governed by the terms and conditions of the platform partner(s) (such as NSE NMF II and / or BSE StAR MF) through which transactions are routed.
28. Paisabazaar shall disclose conflicts of interest as and when they arise. You acknowledge that Paisabazaar earns commission from AMCs in respect of distribution clients, and that Paisabazaar maintains an arm's-length separation between this distribution business and its separate Investment Adviser business.
29. We encourage you to go through all the disclaimers and disclosures provided on our Platform before transacting.

IV. Terms applicable if you are a Non-Resident Indian:

In addition to the above, you agree and confirm that:

1. Any offering or transaction facilitated by Paisabazaar does not constitute an offer to sell or a solicitation in any jurisdiction where it is unlawful to make such an offer or solicitation.
2. You are a Non-Resident of Indian nationality / origin and that funds for purchases are remitted from abroad through approved banking channels or from funds in your NRE / NRO / FCNR account in India, and you are FATCA compliant.
3. You are not resident / incorporated under the laws of the United States of America, Canada or any Financial Action Task Force (FATF) declared non-compliant country or territory.
4. As a user of the Platform from any country other than India, you understand that use of the Platform may be a potential violation of laws in such countries, and you are solely responsible for compliance with foreign and local laws in your country of residence or citizenship.
5. You are solely responsible for any liability incurred in this regard and will indemnify Paisabazaar against any liability it may incur in any foreign jurisdiction as a consequence of citizens / residents of countries other than India using the Services.

V. Limitation of Liability

In no event shall Paisabazaar be responsible or liable for:

1. any act that is not an obligation of Paisabazaar under these Terms of Service;
2. any loss, notional or otherwise, and variances in values incurred on account of delays and processing time at the bank, RTA or AMC;
3. rejection of your instructions by the bank, RTA or AMC;
4. processing of instructions authenticated by your login credentials;
5. non-availability or non-accessibility of the Platform, telephone(s) or office(s) of Paisabazaar due to circumstances beyond Paisabazaar's control; or
6. any special, indirect, incidental, consequential, punitive, reliance or exemplary damages of any nature whatsoever arising out of the Services.
7. Nothing in this Section shall exclude or limit Paisabazaar's liability for fraud, gross negligence, wilful default or breach of applicable law.

VI. Indemnification:

1. You agree to keep indemnified and hold Paisabazaar / its authorised representatives, service providers, mutual funds, AMCs and their officers and agents free and harmless at all times against all costs, losses, liabilities, damages, charges, actions, proceedings, claims and expenses (whether direct or indirect) arising by reason of your use of these Services or any instructions relating to dealing in mutual funds through the Platform.
2. You agree that Paisabazaar / its service providers, mutual funds, AMCs and their officers and agents are not liable for any loss caused by a fall in the value of investments / NAV, which can go up or down depending on the factors and forces affecting capital markets, or for any indirect, special or consequential loss.
3. Paisabazaar / its service providers shall not be liable for any delay / refusal / non-payment of any redemption proceeds or dividend payouts by the mutual funds / AMCs for any reason whatsoever.
4. The materials on this Platform, including all information, contents, "look and feel" and design, are the intellectual property and copyright of Paisabazaar (including its parent company) and are protected by applicable copyright and trademark law. You shall not copy or distribute any part of the Platform without Paisabazaar's explicit consent.

VII. Grievance Redressal

Paisabazaar shall resolve grievances within the timelines specified by SEBI / AMFI from time to time. The name and contact details of Paisabazaar's designated Grievance Officer are available on the Platform. If you are not satisfied with the resolution, you may escalate your complaint to SEBI through the SCORES portal (scores.sebi.gov.in) and may also initiate resolution through SEBI's Online Dispute Resolution (ODR) mechanism via the Smart ODR portal (smartodr.in), in the manner and within the timelines specified by SEBI from time to time.

VIII. Modification of these Terms of Service:

Paisabazaar reserves the right to change, modify, add or remove portions of these Terms of Service and its Privacy Policy. The revised terms shall be made available on our Platform, and you are requested to visit the Platform periodically to view the most current version. Paisabazaar shall display a notice regarding changes where required under applicable law. Your continued use of the Platform will mean that you accept and agree to these changes.

IX. Severability

If any provision of this Agreement is held or made invalid by a court decision, statute, rule or otherwise, the remainder of this Agreement shall not be affected.

X. Force Majeure

Paisabazaar shall not be liable for delays or errors occurring by reason of circumstances beyond its control, including acts of civil or military authority, national emergencies, work stoppages, fire, flood, catastrophe, acts of God, pandemic / epidemic, insurrection, war, riot, or failure of communication or power supply. In the event of equipment breakdowns beyond its control, Paisabazaar shall take reasonable steps to minimize service interruptions but shall have no liability with respect thereto.

XI. Governing law and disputes

This Agreement shall be governed by the laws of India. Any dispute, controversy or claim in connection with or arising out of this Agreement shall first be sought to be resolved through SEBI's Online Dispute Resolution (ODR) mechanism in accordance with the applicable SEBI circulars. To the extent any dispute is referred to arbitration, it shall be referred to a sole arbitrator appointed through, and conducted in accordance with, SEBI's ODR framework and the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be at Gurugram, India. All proceedings, including any awards, shall be in the English language, and the award shall be final and binding on the Parties.

XII. Miscellaneous

(a) Conflict of provisions: In case of any conflict between these Terms of Service and the Platform's Terms of Use, these Terms of Service shall prevail to the extent of such conflict.

(b) Further assurances: Each Party agrees to perform such further actions and execute such further documents as are necessary to effectuate the purposes hereof.

Past performance is no guarantee of future results. The value and income derived from investments may go down as well as up.
